We provide web design, development, SEO, and related digital services as described on our site or proposal documents. Deliverables, timelines, and fees are defined in written proposals or statements of work (“SOW”).
2. Proposals, Payments & Scheduling
- Proposals/quotes are valid for the time stated (or 30 days if not stated).
- Work typically begins upon receipt of an agreed deposit; remaining balances are due as specified.
- Delays in providing content, feedback, or access may extend timelines.
3. Client Responsibilities
- Provide accurate, lawful content and required approvals in a timely manner.
- Obtain rights/licenses for any third-party materials supplied to us.
- Maintain access credentials and comply with platform terms (e.g., hosting, CMS, analytics).
4. Intellectual Property
- Your Materials: You retain ownership. You grant us a limited license to use them to perform the services.
- Our Work: Upon full payment, you receive rights to the final deliverables as specified in the proposal. Our pre-existing tools, workflows, and know-how remain ours.
5. Revisions & Acceptance
Unless otherwise stated, proposals include a reasonable number of revision rounds. Deliverables are deemed accepted when you confirm in writing or use them in production.
6. Third-Party Services
We may integrate third-party tools (e.g., hosting, plugins, analytics). You are responsible for third-party fees and compliance with their terms. We are not liable for outages or changes by third parties.
7. Warranties & Disclaimers
We provide services with reasonable care and skill. Except as expressly stated, the site and deliverables are provided “as is” without warranties of merchantability, fitness for a particular purpose, or non-infringement.
8. Limitation of Liability
To the maximum extent permitted by law, in no event shall we be liable for indirect, incidental, special, consequential, or punitive damages. Our aggregate liability shall not exceed the fees paid for the specific services giving rise to the claim.
9. Confidentiality
Each party agrees to keep the other party’s confidential information secure and use it only as needed to perform the services.
10. Termination
Either party may terminate for material breach if not cured within a reasonable period after written notice. Upon termination, amounts due for completed or in-progress work become payable.
11. Governing Law
These Terms are governed by applicable laws of the jurisdiction where Webloyed LLC is formed/operates, without regard to conflict of laws.
12. Changes to Terms
We may update these Terms periodically. The “Last updated” date reflects the latest version. Material changes may be announced on the site.
